Invited Special Guests:

Mr. Josh Batkin, Vice President of Council Relations at NCARB, presented the regulatory proposals that have been introduced in state legislatures around the United States. The presentation included an overview of the public perception of the profession of architecture based on recent survey results.

AGENDA ITEMS BASED ON STRATEGIC PLAN GOALS:

  1. Position Architects as vital contributors to our built environment.
  • An overview of the proposed changes to the Rules of the Organization regarding the composition of the Honors Committee were provided. A motion was presented by the Honors Committee Diversity Task Force recommending acceptance of the presented recommendations.  The motion passed unanimously.
  • Advance the knowledge and expertise of members.
  • The attendance and revenue statistics of Architecture Exchange East 2019 which included attendee and exhibitor survey results were presented. It was noted that attendee diversity is increasing.  Survey results indicated that exhibitors would be interested in a conference collaboration with other AIA components like AIA DC and AIA Maryland.
  • Become a model of a strong nonprofit and vibrant membership organization.
  • The proposed appointments to the Invest in the Future Task Force which is charged with exploring a full range of possibilities that would result in access to a 501c3 philanthropic arm for use by all five local components and the state component were presented. The motion passed unanimously.
  • Advocate for the profession.
  • The Government Advocacy Advisory Council’s proposed recommendation of establishing a $25 minimum PAC contribution to receive a lapel pin was discussed. However, any individual who contributes in addition to the PAC Opt-In amount will be recognized on the AIA Virginia PAC website. The motion passed unanimously.
  • The proposed appointments to the PAC Board of Trustees were provided. The motion passed unanimously.

DISCUSSION ITEMS:

Treasurer’s Report:

The organization’s Balance Sheet indicates the cash and cash equivalents are approximately $20k greater than at this point last year. The deferred revenue of over $50k reflects the number of exhibitors who have signed up for Architecture Exchange East 2020.  The organization’s excess of revenue over expenses was recorded at just over $13k.

New Business:

  • AIA Virginia, AIA DC, AIA Maryland Collaboration:  The three components have agreed to explore the feasibility of a potential conference collaboration.   
  • AIA National Environmental Stewardship Update: An Institute update on “The Big Move” which is an AIA National position on Environmental Stewardship and Climate Action was distributed. This stance has influenced the development of AIA Virginia’s 2020-2022 Strategic Plan.
  • Members of the Board shared what they were most proud of regarding their service.  Items noted included advocacy efforts, the digital creation of Inform magazine, relocation of the organization’s headquarters, the organization’s improving financial health, and progress with increasing diversity.

AGENDA ITEMS BASED ON STRATEGIC PLAN GOALS:

Position Architects as vital contributors to our built environment.

  • An overview of the Honors Committee Diversity Task Force’s charges, the process for engaging pertinent stakeholders, deliberations and recommendations were provided. A motion was presented by the Task Force recommending acceptance of the presented recommendations. The motion passed unanimously.

Advance the knowledge and expertise of members.

  • The Emerging Leaders in Architecture program’s class project is in Northern Virginia and will be presented at Architecture Exchange East. The application deadline for the 2020 class is November 8 and the project will be in Norfolk.
  • The revenue, registration counts, and demographics to date of Architecture Exchange East 2019 were presented.

Advocate for the profession.

  • The jury’s selected option for the PAC Pin design competition was presented.
  • The status of the organization’s advocacy efforts related to the Commonwealth of Virginia’s Statute of Limitations (SOL) was provided. The Executive Vice President attended an industry-wide presentation by the Department of General Services on October 3 which briefed attendees on the August survey results. A bill is expected to be introduced by the Associated General Contractors providing a finite limit on the SOL in which AIA Virginia will support.

DISCUSSION ITEMS:

The organization’s Balance Sheet was presented which indicates the cash and cash equivalents are approximately $78k greater than at this point last year. It was noted that revenue associated with Architecture Exchange East is lower than at this time last year. The organization’s excess of revenue over expenses was recorded at just under $55k.

New Business:

  • The 2019 General Assembly directed the Virginia Department of Housing and Community Development in SB1755 to develop proposals for building code changes to counteract the threats of active shooters in schools. The review required the examination of locking devices, barricade devices, and other safety measures. AIA Virginia’s position is that architects will implement the requirements of the building code language that is adopted.
  • It is expected that the 2020-2022 Strategic Plan will be voted on at the February 2020 Board meeting.
  • The National Organization of Minority Architects Exploratory Committee has been formed to determine the requirements and feasibility of starting a Virginia chapter. Its first meeting was held on October 17.
  • The Region of The Virginias Young Architects Regional Director position will need to be filled by the end of the year.
  • The Invest in the Future Task Force was created to explore how the organization can better position itself to invest in the future generation of the profession.
  • The Branch Museum of Architecture and Design hosted “Learning from Landmarks” on October 21. The event consisted of a moderated interview with Hugh Miller, FAIA.
  • Howard University hosted the Howard Modern Tour Day on October 26 on its campus in Washington, D.C.

  • A motion was presented by the Honors Committee recommending approval of the presented 2019 AIA Virginia Honors Awards.  The motion passed unanimously.
  • A motion was presented by the Honors Committee recommending the addition of Article 4.7.11 of the Rules of the Organization.  The motion passed unanimously.
  • A motion was presented by the Government Advocacy Advisory Council recommending the endorsement of Bruce Brooks, AIA for continuing service to the National Fire Protection Association as a representative of the AIA.  The motion passed unanimously.
  • Advocate for the profession.
  • A motion was presented by the Political Action Committee Board of Trustees recommending approval of the presented revisions to the AIA Virginia PAC Bylaws.  The motion passed unanimously.
  • A discussion was held regarding allocating 100% of the 2020 AIA Virginia membership dues increase to the PAC and determination of the increased amount. A motion was presented and passed with one vote in opposition and one abstention.
  • The Board of Directors emphasized the importance of collaborating with local components and utilizing various communication channels for disseminating information related to the PAC Opt-In initiative.

The organization’s Balance Sheet was presented which indicates the cash and cash equivalents are approximately $125k greater than at this point last year. It was noted that revenue associated with Architecture Exchange East is lower than at this time last year.

Nominating Committee Report:

A motion was presented by the Nominating Committee recommending approval of the 2020 Slate of Nominees for presentation to the membership for action at the Annual Meeting. The motion passed unanimously.

New Business:

  • Oral History of Architecture: The Board requests that Emeritus members, Past Presidents of local components, Emerging Leaders in Architecture alumni, university representatives from local boards, and the John Braymer Leadership Circle be approached as interview candidates.  The word “intern” should be removed from the description document.
  • Virtual Membership Meeting Survey: Based on the survey results, it was determined that a mid-year Virtual Membership Meeting is not needed.  The Board decided that a “Year in Review” and “Mid-Year Status” document should be distributed to the membership electronically.
  • Blueprint for Better Communities Dinner:  The first dinner will occur in Richmond on September 10 at the home of Burt Pinnock, FAIA.
  • VAGP Conference:  AIA Virginia and ACEC Virginia co-sponsored a portion of the Virginia Association of Government Purchasers fall symposium being held on September 29 – October 1 in Lynchburg.  As part of the sponsorship, Matt Gough of Ames & Gough and Jonathan Shoemaker of Lee Shoemaker will present a seminar to procurement professionals on uninsurable language in design service contracts.
  • Chartwell Capital MOU Suspension – The Memorandum of Understanding has been suspended indefinitely.
  • Amber Book Discussion: The Board supports using the Amber Book as an Architect Registration Exam (ARE) preparatory product. The product will be a member benefit in the form of an exam preparation scholarship.  The Executive Vice President will initiate a funding request for the amount of the product to the Virginia Foundation for Architecture.
  • A Healing Day ceremony will occur on August 25 at Fort Monroe.

Mr. Patrick Cushing, Esq. of Williams Mullen introduced Mr. David Albo, Esq. to the Board of Directors. Mr. Albo will be succeeding Mr. Reggie Jones, Esq. as a Principal Lobbyist for the organization.

AGENDA ITEMS BASED ON STRATEGIC PLAN GOALS:

Advocate for the profession.

A motion was presented by the Government Advocacy Advisory Council recommending approval of the presented revisions to the AIA Virginia Directory of Public Policies and Position Statements. The motion passed unanimously.

Insights were shared from visits to the local component Board of Directors regarding the PAC Opt-In. A discussion was held on the successful actions required for implementing the program which includes repetitive communication, creation of talking points for local component leaders, case studies, education on the difference in membership dues versus PAC investments, and careful messaging to depolarize the term “PAC”.

DISCUSSION ITEMS:

Treasurer’s Report:
The organization’s Balance Sheet was presented which indicates the cash and cash equivalents are approximately $95k greater than at this point last year. The revenue to date has exceeded the annual budget by nearly $18,000. Expenses are currently at 90% of budget. To date, the organization has an excess of revenue over expenses of $148,167. The year-end projection suggests that the organization will end the fiscal year on June 30, 2019 as cash flow positive.

A motion was presented by the Finance Committee recommending a minimum allocation of $30,000 to the organization’s Financial Contingency Fund (FCF). The motion passed unanimously.

A motion was presented by the Finance Committee recommending approval of the Fiscal Year 2019-2020 organizational budget. The motion passed unanimously.

President-Elect’s Report:
The draft Memorandum of Understanding (MOU) developed by a Joint Task Force was presented which is intended to establish a strategy for future partnerships between the Branch Museum of Architecture and Design and AIA Virginia. The board discussion led to several follow-up items for the Joint Task Force.

New Business:
No New Business items were discussed.
